Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Styllar: our website, avatar builder, item library, API, and related services (the “Service”). The Service is operated by Monolith Tech Inc., a corporation incorporated in Quebec, Canada. “Styllar” is a trademark of Monolith Tech Inc., and in these Terms “Styllar,” “we,” “us,” and “our” refer to Monolith Tech Inc. By using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use the Service.

1. The Service

Styllar is a profile-picture platform for humans, companies, and AI agents. You can generate and customize avatars from a hand-drawn item library, save them to an account, download them, and (for developers) access the item library through our API.

We may add, change, or remove features at any time. Some features are in preview and may change or be discontinued without notice.

2. Your Account

You can generate and customize an avatar without an account. You need an account to save avatars to your library or download them.

You’re responsible for keeping your login credentials secure and for all activity under your account, including activity by AI agents you operate (see Section 7).

You must be at least 14 years old (or the minimum age of digital consent in your jurisdiction, if higher) to create an account.

3. Acceptable Use

You agree not to:

  • use the Service for anything unlawful, harmful, or infringing;
  • copy, scrape, or redistribute the item artwork outside the permissions granted in these Terms or via the API;
  • resell, sublicense, or claim ownership of the raw item art;
  • attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service;
  • use avatars to impersonate a real person in a misleading or harmful way;
  • use avatars in connection with hateful, discriminatory, sexually explicit, or unlawful content;
  • circumvent rate limits, access controls, or any technical restriction of the Service.

We may remove content or suspend access that we reasonably believe violates this section.

4. Intellectual Property & Avatar License

Our property. The item library and all Styllar artwork, trademarks, software, and the Service itself are owned by Monolith Tech Inc. or its licensors and are protected by intellectual-property laws. Nothing in these Terms transfers ownership of any of it to you.

Your license (personal use). We grant you a worldwide, non-exclusive, royalty-free license to use the avatars you compose with Styllar for personal, non-commercial purposes, including as your profile picture on social platforms, in messaging apps, in games, and for your personal AI agents. This includes downloading and displaying your avatars.

For avatars you have already composed and downloaded, this personal-use license is perpetual, and revocable only if you materially breach these Terms.

What personal use does not include. You may not, without our prior written consent:

  • use avatars for commercial purposes, including in paid products, services, advertising, or merchandise;
  • sell, license, or distribute avatars or the underlying item art, alone or as part of a product;
  • use avatars as branding or identity for a business or commercial AI agent;
  • mint avatars or item art as NFTs or other on-chain assets;
  • use the item art or avatars to train machine-learning models or to create competing item libraries.

Commercial use. If you’d like to use Styllar avatars commercially (for your company, product, commercial AI agents, or clients), contact us at info@styllar.com. Commercial licenses are available and will be governed by a separate agreement or a paid plan.

5. Your Content

If the Service allows you to upload or input content (such as names, text, images, or custom elements), you confirm you own it or have the necessary rights to it. You grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process that content solely to operate and improve the Service. We may remove content that violates these Terms or applicable law.

6. The API

The Styllar API lets developers read the item library to build avatars in their own products. API use is subject to these Terms, our API documentation, and any published rate limits. API access is for integration purposes only and does not expand the license in Section 4; commercial deployment of API-generated avatars requires a commercial license.

We may introduce API keys, quotas, or pricing, and may suspend access we reasonably believe is abusive.

7. AI Agents

Avatars may be created for and used by AI agents. The person or entity that operates an AI agent is responsible for that agent’s use of the Service, and such use is deemed activity under the operator’s account. Avatars used by commercial AI agents (agents operated by or for a business) require a commercial license under Section 4.

8. Premium & Payments

Some items and features may require a paid plan. Prices and billing terms will be shown at the point of purchase and are incorporated into these Terms.

Refunds. You may request a full refund within seven (7) days of purchase by emailing info@styllar.com from the email associated with your account. After 7 days, purchases are non-refundable, except where a refund is required by applicable law (including Quebec’s Consumer Protection Act, where applicable). Refunds are issued to the original payment method. We may deny refund requests that we reasonably believe are abusive (for example, repeated purchase-and-refund patterns).

9. Not an Investment; No Financial Advice

Nothing offered through the Service, including avatars, premium items, paid plans, or the Styllar Collection, is an investment, security, financial instrument, or currency. Avatars and items are cosmetic digital goods with no promised or implied monetary value, resale value, or future utility. Do not purchase anything from Styllar with the expectation of profit. Nothing we publish, on any channel, constitutes financial, investment, legal, or tax advice.

10. On-Chain Collection

The Styllar Collection (on-chain avatars) may be offered separately and governed by additional terms presented at that time. The Styllar Collection consists of limited digital collectibles, subject to Section 9 above. Blockchain transactions are irreversible and carry their own risks.

11. IP Complaints

If you believe content on the Service infringes your intellectual-property rights, email info@styllar.com with: (a) identification of the work, (b) the location of the allegedly infringing material, (c) your contact information, and (d) a statement of good-faith belief of infringement. We will review and, where appropriate, remove or disable access to the material.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. We comply with applicable Canadian privacy laws, including PIPEDA and, where applicable, Quebec’s Law 25.

13. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. We don’t guarantee the Service will be uninterrupted, error-free, or secure. Some jurisdictions limit warranty exclusions; where that applies, exclusions apply to the maximum extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by applicable law:

(a) Monolith Tech Inc., its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill arising from your use of the Service; and

(b) our total aggregate liability for all claims relating to the Service will not exceed the greater of CAD $100 or the amounts you paid us in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including certain consumer rights under Quebec’s Consumer Protection Act.

15. Indemnification

You agree to indemnify and hold harmless Monolith Tech Inc. and its directors, officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your content; (b) your use of the Service or of avatars in breach of these Terms; (c) the activity of AI agents you operate; or (d) your violation of any law or third-party right.

16. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could harm Styllar or others.

Upon termination of your account, saved avatars and library data may be deleted after 30 days. You are responsible for downloading your avatars before then. Avatars already downloaded under a valid personal-use license remain licensed per Section 4 unless the termination was for material breach.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice (such as by email or in-Service notice) at least 30 days before the changes take effect, where practical. Continued use after the effective date means you accept the updated Terms.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts of Quebec, Canada, except where applicable consumer-protection law grants you the right to proceed in your local jurisdiction.

19. General

  • Entire agreement. These Terms (with the Privacy Policy and any commercial or payment terms you accept) are the entire agreement between you and Monolith Tech Inc. regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
  • Assignment. We may assign these Terms (for example, in a merger or sale). You may not assign them without our written consent.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Survival. Sections 4, 5, 9, 11, 13, 14, 15, and 18 survive termination.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
